Keith was a founding director, having joined from Taro, in New York, where he was Managing Director for Europe. His 18 years in the pharmaceutical industry, starting with Wyeth, have seen him in a number of senior roles, holding responsibility for developing alliances and negotiating contracts. Through the 1950s, Taro relied on imports for the active pharmaceutical ingredients (APIs) of its products. Yet the political situation following the Suez War in 1956 severely restricted Taro's ability to procure its APIs. Instead, the company decided to begin producing its own active ingredients. In 1960, the company instituted a new chemical synthesis operation that enabled it to achieve a stronger degree of independence in its pharmaceutical formulations. The company then became capable of ensuring the quality of its products by producing both the API and the completed dosage formulation.

In its later stages, certain defendants broadened the scheme to include trading on nonpublic information stolen from entities other than Taro. On at least two occasions, Ayal and Heyman misappropriated material, nonpublic information concerning impending mergers from their respective employers, PwC and E&Y, and tipped Amir with the information. Amir immediately traded on the information using Aragon's account. Amir ... tipped Kim with the information from Ayal and Heyman, and Kim traded on the information.

On May 10, 2007 Franklin Advisers and Templeton, the beneficial owners of approximately nine percent of the Taro's ordinary shares, filed a motion in Tel-Aviv District Court to prevent what they allege to be discrimination against minority shareholders.
