Dobson Communications brings cell phones to small-town folks. The company provides wireless service to more than 1.5 million subscribers in primarily rural and suburban areas of 17 states. Through principal subsidiaries Cellular One (formerly Dobson Cellular) and American Cellular, Dobson offers wireless voice and data services through its networks that utilize Global System for Mobile Communications (GSM), Enhanced Data for GSM Evolution (EDGE), General Packet Radio Service (GPRS), and TDMA (time division multiple access) digital technologies. The family of chairman Everett Dobson owns a nearly 60% controlling interest in the company. Dobson agreed to be acquired by AT&T for $2.8 billion in mid-2007.

Dobson Communications' next cellular deal was completed a year after adding subscribers in Kansas and Missouri. Between February and March 1997, the company acquired cellular properties in rural Maryland and Pennsylvania. The acquisition represented a significant geographic leap for the company, taking it beyond its southwestern roots and establishing a presence in the eastern United States. The deal ... marked a major expansion for the company, giving it 41,000 subscribers, which more than doubled its customer base. In a separate deal, the company also signed an agreement to acquire controlling interest in a rural Arizona licensee. The transaction was completed in October 1997, when Dobson Communications acquired a 75 percent interest in Gila River Cellular General Partnership, a wireless carrier serving a rural service area with 188,000 potential subscribers between Phoenix and Tucson.

The Federal Communications Commission approved with conditions the transfer of control of licenses, authorizations, and spectrum leases held by Dobson and its subsidiaries to AT&T. These licenses and authorizations include Cellular licenses, Broadband Personal Communications Service (PCS) licenses, Advanced Wireless Services licenses, Common Carrier Fixed Point-to-Point Microwave licenses, and three international section 214 authorizations. AT&T is required to divest the licenses and related operational and network assets -- including certain employees, retail sites, and subscribers -- of one of the two companies in four markets in order to complete their merger. AT&T is ... subject to a condition to have an interim cap on its high-cost, competitive Eligible Telecommunications Carrier (ETC) support. This cap, like the cap established as a condition of the ALLTEL-Atlantis transaction, is based on AT&T and Dobson's level of competitive ETC support as of June 2007.
