ProStrakan has ... loaned Cellegy $2 million pursuant to a secured promissory note. Amounts owed under the note will be repaid at the closing of the transaction out of the purchase price and are also payable at the maturity date of the note, which is November 30, 2006 (or, in certain circumstances, December 21, 2006).

Cellegy said last month that it was seeking a buyer for its assets and technologies, or a partner to help fund research and development. Caso said that the company had been talking with a number of people and that some had expressed interest. "We have to have a decision in the next few weeks, by the end of September," he said. Cellegy disclosed in its second-quarter earnings report Aug. 10 that it had enough cash to get "through at least September." Its cash has dwindled since June 30, 2005, when it had $4.1 million. If Cellegy does not find a development partner or buyer, "we are history.
