Under terms of the agreement, 3Com and HealthRamp are committed to collaborate on the implementation of the CareGiver solution in long term care facilities nationwide. HealthRamp has integrated its CareGiver software with 3Com's wireless infrastructure technologies enabling long term care facilities to collect and manage data for electronic resident charts, prescriptions, treatment orders and logistics in a HIPAA compliant manner from anywhere within a facility. This integrated solution can help enable long term care facilities to increase quality of care and decrease prescription errors, while reducing administrative and purchasing costs. The CareGiver solution, supported by a complete 3Com wireless infrastructure, will be installed in the first series of nursing homes before the end of the third quarter.

The proposed 3Com takeover has hit another snag with the Committee on Foreign Investment in the United States (CFIUS). In a statement Wednesday, 3Com said Bain Capital Partners and Huawei Technologies have withdrawn their filing with the CFIUS regarding their proposed merger. The national security threat, first reported last year by The Washington Times, involved potential Chinese government access to U.S. defense secrets, including 3Com's TippingPoint division that makes high-technology safeguards against computer hackers. Huawei in the past has been accused of economic espionage and violating U.N. sanctions.

Earlier this year, 3Com announced plans to spin off TippingPoint in an initial public offering early next year, saying its products were not a tight fit with networking gear produced by other units. That IPO is still likely to happen, but the decision to proceed will ultimately be Bain's and Huawei's to make if the 3Com acquisition goes through, Zager said.

As background, the proposed takeover of 3Com has come under intense scrutiny for two reasons: First, 3Com owns security vendor TippingPoint. And second, 3Com is a key supplier to the Pentagon.
